Virtual Clerking

AI-assisted clerking for boards and committees. Currently focused on the UK education sector — multi-academy trusts, schools, and FE colleges. Long-term roadmap covers legal, healthcare, and corporate clerking.

What it is

Virtual Clerking is the strategic flagship at Flow Nexus AI. It's built for the role of clerk to governors — the statutory job that every UK academy trust, school, and FE college depends on under the Academies Financial Handbook and the DfE governance handbook.

The clerk role is paper-heavy and time-consuming: statutory agenda preparation, accurate minutes, action tracking, register of interests, term-of-office expiries, declaration of interest updates, governance reminders. Most of it is rule-driven enough that AI can take half the workload off — when the design respects the boundary that humans must approve and sign anything legally significant.

That's what we build. AI drafts. Humans review. Statutory accuracy stays where it has to be. Hours come back to the clerks for the higher-value work — supporting governors, advising on procedure, running induction, chasing accountability — that no AI should touch.

How it works

  1. 01

    We map your governance year

We sit down with your governance team and walk through every meeting, committee, agenda template, statutory requirement, and reporting deadline you currently track. The audit usually surfaces 1–2 deadlines that aren't being tracked anywhere.

  2. 02

    We build to your portal

Most trusts and schools run GovernorHub, Modern Governor, or similar. We integrate to whatever you use, including custom databases. Drafts go to your portal; humans approve and sign per the Academies Financial Handbook and DfE guidance.

  3. 03

    AI drafts, humans sign

Statutory minutes are legally significant. Our system never signs anything — it drafts, flags, and reminds. Your clerk reads, edits, and signs, exactly as today. The time saving is in the drafting, not the approval.

  4. 04

    We monitor governance compliance

Term-of-office expiries, DBS check renewals, declaration of interest updates, attendance thresholds. The system reminds your clerk before each deadline.

Frequently asked

Can AI sign the minutes?

No. Statutory minutes must be approved and signed by humans. Our system drafts and flags only — your clerk reviews, edits, and signs, exactly as today.

Is this DfE / Academies Financial Handbook compliant?

The product is designed around the human-in-the-loop requirement. We'll walk you through the compliance design in the audit and document it for your auditors.

Does it work with GovernorHub?

Yes. We integrate with GovernorHub, Modern Governor, and equivalent platforms via API, plus custom databases where needed.

What about clerking outside education?

We're starting in education governance because the statutory framework is clear and the volume is high. Legal, healthcare, and corporate clerking are on the roadmap.
